General Terms and Conditions (GTC)- Allgemeine Geschäftsbedingungen (AGB)

General Terms and Conditions (GTC) are pre-formulated contractual terms that a business unilaterally establishes for a multitude of contracts (mass contracts) without individual negotiation with the customer. They serve to standardize, simplify business processes, and, as the "small print," are subject to strict legal control under Sections 305 et seq. of the German Civil Code (BGB) to protect the other party. Purpose: GTC regulate details such as delivery, payment, warranty, and liability to avoid individual agreements for each transaction. Definition (Section 305 BGB): These are terms and conditions that are pre-formulated for a multitude of contracts and presented to one party (the user) upon conclusion of the contract. Incorporation: For GTC to be valid, the customer must expressly or implicitly agree to them at the time of contract conclusion, and the customer must have the opportunity to review them. Legal Limits: GTC must not unreasonably disadvantage the customer; surprising or unclearly worded clauses are invalid. Difference to Individual Agreements: Individually negotiated terms take precedence over GTC.
